General terms and conditions of use

Article 1. Definitions

For the purposes of these terms of use:

  1. Service Provider
    The natural or legal person which has an online platform on which Service Provider offers (access to) digital content and/or services;

  1. User
    The person who makes use of the offered online platform, the (access to) digital content and/or the services (remotely) offered by Service Provider.

  2. Service
    The online platform on which the Service Provider offers (access to) digital content and/or services (remotely).

  3. Conditions of Use
    The conditions of use as set out in this document.

Article 2. Applicability Conditions of Use

The Conditions of Use apply to all users of the Service. By using the Service, User agrees to be bound by the Conditions of Use.

If User is a customer, supplier or other counterparty of the Service Provider, these Conditions of Use apply as a supplement to the (general) terms and conditions of the Service Provider that have been declared applicable to that agreement.

The Conditions of Use may be amended by Service Provider at any time. The applicable version is the one applicable at the time of the User’s login.

Article 3. Use of the Service

The right of use is personal. In order to log on to the Service, User has received a username and password. User guarantees that he will not disclose or make his user date available to others.

Service Provider only provides a temporary right of use to the Service. Service Provider determines who uses the Service and for how long. There is no enforceable right of use for User.

The use of the Service will not be used for any other purpose other than that for which access has been granted.

Use of the Service is entirely at User’s own expense and risk.

User will respect copyrighted works of Service Provider, other users and/or third parties, i.e. not copy, reproduce, (sub)license or exploit, without the explicit written permission of Service Provider.

If User knows or suspects that the user name and/or password may be known to someone else, the user must change the password and inform Service Provider immediately.

User is not permitted to the use the Service to place, reproduce, distribute or make public data or information that is contrary to the law, or good morals, or that has been obtained unlawfully, or in such a way that it infringes the rights of third parties, such as intellectual property rights.

User indemnifies Service Provider against any claims by User or third parties on account of violation of the provisions of this article.

Article 4. Use of Contact Details for Mailing and Relevant Communication

Service Provider may use User's contact details, such as email address, for sending newsletters, updates, promotional materials, and other relevant communications only if User has explicitly opted-in during registration, account setup, or through subsequent consent options.

Opt-in process: User provides consent by checking a designated box or confirming via email during onboarding or in account settings.

Opt-out process: User may withdraw consent at any time by clicking the unsubscribe link in any communication, updating preferences in account settings, or contacting support@blackbear.global. Withdrawal takes effect immediately, and Service Provider will cease such use of contact details.

Service Provider complies with applicable data protection laws in handling opt-in and opt-out requests.

Article 5. Intellectual Property

All intellectual property rights in the Service, including software, content, and materials, remain with Service Provider or its licensors.

User is granted a limited, non-exclusive, non-transferable license to use the Service as permitted under these Conditions of Use.

User must not modify, reverse engineer, or create derivative works from the Service.

Article 6. Liability

Service Provider is not liable for any damages arising from use of the Service, including indirect, consequential, or incidental damages.

Service Provider's total liability is limited to the amount paid by User for the Service in the preceding 12 months.

User indemnifies Service Provider against claims from third parties related to User's use of the Service.

Article 7. Data Protection and Privacy

Service Provider processes personal data in accordance with its Privacy Policy, available on the Website.

User consents to such processing by using the Service.

Article 8. Termination and Suspension

Service Provider may suspend or terminate User's access to the Service at any time for violation of these Conditions of Use or other reasons.

Upon termination, User's right to use the Service ends immediately.

Article 9. Governing Law and Dispute Resolution

These Conditions of Use are governed by Dutch law.

Any disputes shall be resolved exclusively in the courts of Amsterdam, Netherlands.

Article 10. Miscellaneous

If any provision is invalid, the remaining provisions remain in effect.

Service Provider may assign these Conditions of Use without User's consent.

These Conditions of Use constitute the entire agreement between User and Service Provider.
